It took a while, but the Dutch Whistleblower Protection Act was finally adopted by the House of Representatives on December 20. Much to our surprise, quite a few amendments and motions were also adopted, for instance on sanctions and anonymous reporting channels.<\/p>\n

In our previous newsletter, we informed you that the House of Representatives would debate the Whistleblower Protection Act on December 8, followed by a vote on December 13. But again, the vote was postponed. Initially until December 15. On December 14, however, the minister sent another letter to the House of Representatives. Some Members of Parliament wanted to study this letter more closely first, whereupon the vote was postponed to December 20.<\/p>\n

Before that a debate took place on December 8. This started around 7.30pm and lasted until midnight. There was plenty of discussion, as indicated by the time spent. In particular, MPs Leijten (SP) and Omtzigt spoke passionately, but Dekker-Abdulaziz (D66) and Van Dijk (CDA) were also very engaged. It was nice that Mr Bushoff of the Labour Party gave his maiden speech during the debate, with a remarkable personal story. Furthermore, as in recent months, the minister’s constructive attitude stood out. She indicated, for instance, that she really dislikes the term ‘loyal dissent’. A project under this name was previously running at her ministry. After all, she said, dissent is loyal by definition. Therefore, she likes to be contradicted at least once every week. This is the kind of leadership we appreciate.<\/p>\n

The minister also announced that by 2023, meetings will be held to share experiences on a safe working and reporting environment. In addition, she will organize scientific research into the effectiveness of whistleblower protection acts, as currently few facts and figures are known about it.<\/p>\n

The minister further indicated that she will come up with a next bill in nine months’ time. But it may take another one-and-a-half to two years before that bill is finally introduced. In the proposed law, she will revisit the support offered to whistleblowers and possible sanctions for employers. The latter will not be necessary, as a result of the vote on December 20.<\/p>\n

The minister also took Mr Omtzigt’s suggestion to discuss the protection of whistleblowers and the inclusion of whistleblower reports in annual reports with the Monitoring Committee Corporate Governance. Unfortunately, this was a little too late, as the new Corporate Governance Code has already been published. Incidentally, large companies will soon have to report on this anyway, because of the Corporate Sustainability Reporting Directive, a European directive that will come into effect soon.<\/p>\n

It was unfortunate that Mr Omtzigt had to take the train home at a certain point. His contributions were sharp and were sorely missed. Nevertheless, he eventually managed to get several amendments adopted.<\/p>\n

As expected, the debate was mainly about the definition of a whistleblower report, support for whistleblowers and sanctions.<\/p>\n

Public interest<\/h2>\n

According to the law a report, which does not concern a breach of EU law, is only considered a whistleblower report if the public interest is at stake. Several groups would have liked to see this criteria removed from the law. We also wrote about this<\/a> several times. In the end, Mrs Leijten also submitted an amendment to this effect on behalf of the SP. Unfortunately, this amendment was not adopted. As a result, this difficult to grasp definition of wrongdoing whereby the public interest is at stake is still in the law. We therefore advise employers to adopt a broader definition, and offer protection themselves if there is a breach of an applicable law or the code of conduct or other internal procedure, even though there may be no legal protection. Nevertheless, the legal definition of wrongdoing whereby the public interest is at stake will have to be included in the whistleblower procedure that the organization communicates to the employees.<\/p>\n

Support for whistleblowers<\/h2>\n

The minister indicated that experiments to support whistleblowers are already underway or have been deployed. For instance, whistleblowers can be referred by the House for Whistleblowers to the organization that provides assistance to victims (in Dutch: Slachtofferhulp). Furthermore, the intention is for whistleblowers to be able to apply for free legal aid without having to pass an income test. While she is in favour of setting up a fund for whistleblowers, the details are still tough to work out. After all, who should manage that fund? And how will it be filled? She wants to further discuss this and then return to it in the next bill. The amendments to establish a fund now failed during the vote. However, a motion by the CDA (christian-democratic party) and D66 (democratic party) did pass, which called upon the minister to submit proposals for official psychosocial, legal and financial support for whistleblowers before the Summer of 2023 and inform the House of Representatives accordingly. The motion of the VVD (liberal-democratic party) that, if possible, an evaluation should already take place during the duration of the pilots was also adopted.<\/p>\n

Sanctions<\/h2>\n

The proposed bill did not include any sanctions for employers if they failed to have a whistleblowing procedure or if they had an incorrect one. However, employees can go to the subdistrict court to enforce this. A whistleblower who faces retaliation as a result of his\/her whistleblower report should also go to court himself\/herself for compensation. The minister wanted to stick with these civil-law sanctions for the time being and possibly return to them at a later stage. D66, however, indicated that administrative and civil sanctions could co-exist and therefore voted along with the SP proposal to grant the House for Whistleblowers the possibility to impose sanctions on whistleblowers. \u00a0Omtzigt preferred to leave this to the labour inspectorate. His motion did not gain a majority this time, but the SP’s did. However, how exactly the sanctions can be imposed or other measures can be taken by the House for Whistleblowers still needs to be elaborated in lower legislation.<\/p>\n

Anonymous reporting channels<\/h2>\n

During his introduction, Omtzigt indicated that anonymous reporting channels lower the threshold for people to report. After all, if you don’t know who is the reporter, you also can’t retaliate against the reporter. During the debate, his amendment to make it compulsory to set up anonymous reporting channels was not discussed any further. We were therefore pleasantly surprised that a majority voted in favour of it. We at The Integrity Coordinator have always argued in favour of opening anonymous reporting channels. However, the exact wording of Omtzigt’s motion does raise some question marks. For instance, the report would have to be made through a certified, external confidential counsellor, who would then also need to have taken an oath. Confidential counsellors currently do not take oaths. But this can be organized going forwards. Nevertheless, we think that confidential counsellors should not also be the whistleblower reporting officer. But they can represent an employee to the reporting officer. Another option would be for employers to appoint an external lawyer for this purpose. We do not see that as good practice either, unless the lawyer in question is someone other than the law firm of the house. After all, the law firm of the company is supposed to represent the employer’s interests and is therefore not independent. Moreover, for many small organisations, this will be rather expensive. The amendment also mentions the possibility of enabling anonymous reporting by means of special software. It seems to us that an intermediary, like a confidential counsellor of an external lawyer would then no longer be needed, but that is not clear from the amendment. As indicated in the amendment, this has yet to be worked out in lower legislation. As soon as we know more about this, we will of course inform you.<\/p>\n

Another amendment by Omtzigt which was adopted specifies that legal entities assisting a reporter should be protected from retaliation. And the House for Whistleblowers must also establish an internal reporting channel.<\/p>\n

Finally, D66’s amendment that the Act should be evaluated every three years instead of every five years was also adopted, as was a CDA motion that the evaluation should take place from the perspective of whistleblowers.<\/p>\n

The Whistleblower Protection Act has yet to be adopted by the Senate. The first consultation on this will take place on 17 January. The Senate can only adopt or reject the law in its entirety. We expect the law to be passed soon now. It may then take until 1 March or 1 April before the law enters into force.<\/p>\n<\/div><\/div><\/div>
